General

This website and the Mira Science software application (collectively, the “Site” and “Software”) are owned and operated by Mira Science, LLC (“Mira Science, LLC,” “we” or “us”). Mira Science, LLC provides AI-powered tools for laboratory diagnostics, including plate reading, colony counting, and related analytical workflows. By using the Site or Software, you agree to be bound by these Terms of Service and to use them in accordance with these Terms of Service, our Privacy Policy, and any additional terms and conditions that may apply to specific sections of the Site, the Software, or to products and services available from Mira Science, LLC (including any separate Beta Test Agreement, Subscription Agreement, or Order Form). Accessing the Site or Software, in any manner, whether automated or otherwise, constitutes use and your agreement to be bound by these Terms of Service. We reserve the right to change these Terms of Service or to impose new conditions on use, from time to time, in which case we will post the revised Terms of Service on this website. By continuing to use the Site or Software after we post any such changes, you accept the Terms of Service, as modified.

Intellectual Property Rights

Our limited license to you

The Site, the Software, and all the materials available through them — including but not limited to AI models, algorithms, source code, user interfaces, designs, documentation, training data, and analytical outputs — are the property of Mira Science, LLC and/or our affiliates or licensors, and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Subject to your compliance with these Terms of Service and any applicable Order Form or Subscription Agreement, Mira Science, LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Software for your internal business purposes. You may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, sublicense, reverse engineer, decompile, disassemble, create derivative works from, or distribute in any manner or medium any material from the Site or Software, except as expressly authorized by Mira Science, LLC in writing. You may download or print individual pages of the Site for your personal or internal business reference, provided you keep intact all copyright and other proprietary notices.

Your license to us

By posting or submitting any material to us via the Site, the Software, internet groups, social media venues, or to any of our staff via email, text or otherwise (excluding Lab Data, which is governed separately by your Beta Test Agreement, Subscription Agreement, or Privacy Policy), you are representing: (i) that you are the owner of the material, or are making your posting or submission with the express consent of the owner of the material; and (ii) that you are eighteen years of age or older. When you submit, email, text, deliver, or post such material, you grant Mira Science, LLC, and anyone authorized by Mira Science, LLC, a royalty-free, perpetual, irrevocable, non-exclusive, unrestricted, worldwide license to use, copy, modify, transmit, exploit, create derivative works from, distribute, and/or publicly perform or display such material, in whole or in part, in any manner or medium, now known or hereafter developed, for any purpose. This grant includes the right to exploit any proprietary rights in such posting or submission, including rights under copyright, trademark, service mark, or patent laws.

Feedback. If you provide Mira Science, LLC with suggestions, comments, ideas, improvements, bug reports, or other feedback regarding the Software (“Feedback”), you hereby irrevocably assign to Mira Science, LLC all right, title, and interest in and to such Feedback, including all intellectual property rights. Mira Science, LLC may use, incorporate, modify, and commercialize Feedback without restriction, attribution, or compensation to you.

Limitations on Linking and Framing

You may establish a hypertext link to the Site so long as the link does not state or imply any sponsorship of your site by us or by the Site. However, you may not, without our prior written permission, frame or inline link any of the content of the Site, or incorporate into another website or other service any of our material, content, or intellectual property.

Disclaimers

Throughout the Site, we may provide links and pointers to Internet sites maintained by third parties. Our linking to such third-party sites does not imply an endorsement or sponsorship of such sites, or the information, products, or services offered on or through them. We do not operate or control any information, products, or services that third parties may provide on or through the Site or on websites linked to by us. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE OR SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY AI-GENERATED OUTPUTS, ANALYTICAL RESULTS, COLONY COUNTS, OR OTHER OUTPUTS PRODUCED BY THE SOFTWARE.

You agree at all times to defend, indemnify and hold harmless Mira Science, LLC, its affiliates, their successors, transferees, assignees, and licensees, and their respective parent and subsidiary companies, agents, associates, officers, directors, shareholders, and employees from and against any and all claims, causes of action, damages, liabilities, costs, and expenses, including legal fees and expenses, arising out of or related to your breach of any obligation, warranty, representation, or covenant set forth herein, or your misuse of the Site or Software.

Regulatory and Use Disclaimer

MIRA SCIENCE, LLC PROVIDES SOFTWARE TOOLS FOR LABORATORY WORKFLOWS, INCLUDING AI-ASSISTED ANALYSIS OF PLATE IMAGES, COLONY COUNTING, AND RELATED DIAGNOSTIC SUPPORT. THE SOFTWARE IS INTENDED TO ASSIST QUALIFIED LABORATORY PROFESSIONALS AND IS NOT A SUBSTITUTE FOR PROFESSIONAL JUDGMENT, VALIDATED LABORATORY PROCEDURES, OR REGULATORY-APPROVED DIAGNOSTIC DEVICES.

UNLESS EXPRESSLY STATED OTHERWISE IN A WRITTEN AGREEMENT WITH MIRA SCIENCE, LLC, THE SOFTWARE IS NOT CLEARED, APPROVED, OR AUTHORIZED BY THE U.S. FOOD AND DRUG ADMINISTRATION OR ANY OTHER REGULATORY BODY AS A MEDICAL DEVICE OR IN VITRO DIAGNOSTIC. THE SOFTWARE IS NOT INTENDED FOR USE IN THE DIAGNOSIS, TREATMENT, CURE, OR PREVENTION OF DISEASE IN HUMANS OR ANIMALS WITHOUT INDEPENDENT VERIFICATION BY QUALIFIED PERSONNEL FOLLOWING APPLICABLE LABORATORY STANDARDS.

YOU ARE RESPONSIBLE FOR (I) VALIDATING THE SOFTWARE’S OUTPUTS WITHIN YOUR OWN LABORATORY ENVIRONMENT AND QUALITY SYSTEM; (II) ENSURING THAT YOUR USE OF THE SOFTWARE COMPLIES WITH ALL APPLICABLE LAWS, REGULATIONS, AND INDUSTRY STANDARDS (INCLUDING WITHOUT LIMITATION CLIA, ISO 17025, GLP, GMP, AND ANY APPLICABLE JURISDICTIONAL REQUIREMENTS); AND (III) ALL DECISIONS MADE BASED ON THE SOFTWARE’S OUTPUTS. MIRA SCIENCE, LLC MAKES NO REPRESENTATION THAT THE SOFTWARE IS APPROPRIATE OR AVAILABLE FOR USE IN ANY PARTICULAR JURISDICTION.

Subscriptions, Beta Access, and Commerce

Access to the Software may be made available through subscription plans, beta programs, pilot agreements, or other commercial arrangements. The specific terms governing your access — including pricing, term length, usage limits, support obligations, and any service-level commitments — will be set forth in a separate Order Form, Subscription Agreement, or Beta Test Agreement between you (or your organization) and Mira Science, LLC. In the event of any conflict between these Terms of Service and such a separate agreement, the separate agreement will control with respect to the subject matter it covers.

• If you make a purchase or enter into a paid subscription, you agree to be financially responsible for all charges incurred by you or any user accessing the Software under your account.
• You agree not to make any purchases for fraudulent purposes or to misrepresent your identity or affiliation.
• If payment is declined or your subscription becomes past due, we may suspend or disable access to the Software until the billing issue is resolved.
• We will make reasonable efforts to contact you before doing so.

The Site or Software may, from time to time, integrate with or link to third-party services (for example, cloud storage, identity providers, or laboratory information systems). We are not responsible for the quality, accuracy, availability, security, or any other aspect of those third-party services. Your use of any third-party service is subject to that third party’s terms and privacy practices, and you should review them directly.

Acceptable Use

The Site and Software may include features that allow you to communicate with us or with other users, including support channels, in-app messaging, and customer communities. Responsibility for what you post, send, or upload lies with you. It is a condition of your use of the Site and Software that you do not:

• Restrict or inhibit any other user from using and enjoying the Site or Software.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Interfere with or disrupt any servers or networks used to provide the Site or Software, or disobey any requirements, procedures, policies, or regulations of the networks we use.
• Use the Site or Software to instigate or encourage others to commit illegal activities or cause injury or property damage to any person.
• Gain unauthorized access to the Site, Software, or any account, computer system, or network connected to either, by means such as hacking, password mining, credential stuffing, or other illicit means.
• Reverse engineer, decompile, disassemble, scrape, or attempt to extract the source code, AI models, training data, weights, or underlying algorithms of the Software, except to the extent expressly permitted by applicable law.
• Use the Software to develop a competing product or service, or to benchmark the Software for the purpose of doing so.
• Upload, transmit, or process through the Software any protected health information (PHI), personally identifiable information (PII), or other regulated data, unless expressly authorized in writing under a separate agreement (including, where applicable, a Business Associate Agreement or Data Processing Agreement).
• Post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane, or indecent information of any kind.
• Post or transmit any information, software, or other material that violates or infringes upon the rights of others, including invasion of privacy, publicity rights, or material protected by copyright, trademark, or other proprietary right, without first obtaining permission from the rights holder.
• Post or transmit any information, software, or other material that contains a virus, worm, malware, or other harmful component.
• Use the Site or Software to advertise or solicit others to buy or sell products or services, or to make donations of any kind, without our express written approval.
• Gather for marketing purposes any email addresses or other personal information posted by other users.

Mira Science, LLC may, but is not obligated to, monitor communications, content, or postings made through the Site or Software. We reserve the right to remove or alter any user-created content at any time and for any reason, and to suspend or terminate the access of any user who violates these Terms of Service. We may disclose user content and the circumstances of its transmission to any third party in order to satisfy any applicable law, regulation, legal process, or governmental request, and to protect ourselves, our users, and our customers.

Registration

• To access certain features of the Site or Software, you may be required to register and create an account.
• You agree to provide true, accurate, current, and complete information about yourself (or your organization) as prompted by the registration form, and to keep that information current.
• If we have reasonable grounds to suspect that any information you have provided is untrue, inaccurate, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site or Software.
• Our use of any personally identifiable information you provide as part of registration is governed by our Privacy Policy.

Passwords and Account Security

• To use certain features of the Site or Software, you will need a username and password.
• You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account, whether by you or by others.
• You agree to notify us immediately of any unauthorized use of your password or account or any other breach of security, and to log out at the end of each session.
• We will not be liable for any loss or damage arising from your failure to protect your password or account information.

Limitation of Liability

UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, SHALL MIRA SCIENCE, LLC, ITS SUBSIDIARY AND PARENT COMPANIES, OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES — INCLUDING DAMAGES FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES — THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE SITE OR SOFTWARE, INCLUDING ANY AI-GENERATED OUTPUTS, ANALYTICAL RESULTS, OR DECISIONS MADE IN RELIANCE ON THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MIRA SCIENCE, LLC’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR THE SOFTWARE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO MIRA SCIENCE, LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN CATEGORIES OF DAMAGES, THESE LIMITATIONS MAY NOT APPLY TO YOU; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

IF YOU ARE DISSATISFIED WITH THE SITE OR SOFTWARE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE.

Termination

We may cancel or terminate your right to use the Site or Software at any time, with or without cause and with or without notice, including for breach of these Terms of Service. In the event of cancellation or termination, you are no longer authorized to access the Site or Software. The restrictions imposed on you with respect to materials, the disclaimers, the limitations of liability, the IP assignments and feedback grants, the indemnification obligations, and any other provision that by its nature should survive, shall survive termination.

Refund Policy

Refund terms for paid subscriptions, pilot programs, or other commercial arrangements are set forth in the applicable Order Form or Subscription Agreement. Absent a written agreement providing otherwise, fees are non-refundable.

DMCA and Copyright

The Digital Millennium Copyright Act of 1998 (the “DMCA”) provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. If you believe in good faith that materials hosted by Mira Science, LLC infringe your copyright, you or your agent may send to Mira Science, LLC a notice requesting that the material be removed or access to it be blocked. Any notification that fails to comply with the requirements of the DMCA shall not be considered sufficient notice and shall not be deemed to confer upon Mira Science, LLC actual knowledge of facts or circumstances from which infringing material or acts are evident. If you believe in good faith that a notice of copyright infringement has been wrongly filed against you, the DMCA permits you to send Mira Science, LLC a counter-notice. All notices and counter notices must meet the then-current statutory requirements imposed by the DMCA; see https://www.copyright.gov/dmca/ for details. Assignment, Governing Law, and Severability

This Agreement shall be binding upon and inure to the benefit of Mira Science, LLC and our respective assigns, successors, heirs, and legal representatives. You may not assign this Agreement or any rights hereunder without the prior written consent of Mira Science, LLC. Mira Science, LLC may freely assign this Agreement, in whole or in part, to any affiliated entity or any of its wholly owned subsidiaries, or in connection with a merger, acquisition, reorganization, or sale of assets. These Terms of Service shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles, and any dispute shall be subject to binding arbitration in Colorado. If any provision of this Agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions.

Changes to These Terms

These Terms of Service may be changed at any time at our discretion. If we update these Terms, we will post the updates to this page and update the “Last Updated” date above. Your continued use of the Site or Software after such changes constitutes your acceptance of the revised Terms.
